Data Processing Agreement (DPA) | Artificial Intelligence (AI) Terms

For our services as a Processor, we have put together a DPA and additional AI terms.

These help you, as our customers, understand our processing of personal data and where it may occur in our products and services. The AI terms provide additional information and clauses regarding how AI is used in our products, what processing and storage occurs and how you can opt-out of using AI functionality, if you wish to.

Both should be read in conjunction with our standard Master Services Agreement (MSA, or Agreement as defined in the DPA) but can also be read separately.

Data Processing Agreement (DPA):

The DPA contains 4 main sections:

  1. The main DPA, providing all the standard clauses and responsibilities we have as a Processor
  2. Schedule 1 is our data processing details, detailing our services, what personal data we process, how long it is retained for and the categories of data subject impacted.
  3. Schedule 2 is our Technical and Organisational Measures (TOMs), to meet various global legislative requirements.
  4. Schedule 3 is the Standard Contractual Clauses (SCCs) should these be required for those customers outside the UK and EU.
    1. For customers in the UK, these transfers are protected under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
    2. For those customers in the EU transferring data into the UK, the UK-EU Adequacy agreement is in place until rescinded by either party.
    3. For all other data transfers, SCCs and the UK International Data Transfer Agreement (UK IDTA) are in place as the transfer mechanism to protect personal data.

Both documents are provided as Word documents, should customers wish to comment and / or mark them up. Our Information Security and Data Protection Officer will review any comments and markup and respond accordingly.

Both documents will be regularly reviewed and maintained, in line with legislative updates.
